Terms of Service for Greenfield Harvest Ltd

These Terms of Service ("Terms") govern the provision of services by Greenfield Harvest Ltd, a company operating in the agricultural sector, with its registered business address at Unit 4, Greenway Business Park, Broughton Road, Skipton, North Yorkshire, BD23 3FA, UK ("we", "us", "our"), and apply to all clients, customers, and other persons or entities ("you", "your") who access, request, or use our services.

1. Introduction and acceptance of terms

By instructing, engaging, booking, or otherwise using any services provided by Greenfield Harvest Ltd, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

These Terms apply in addition to any written quotation, work order, service agreement, proposal, invoice, schedule, or other document agreed between you and Greenfield Harvest Ltd. If there is any conflict, a signed written agreement or specific service order shall take precedence over these Terms to the extent of the inconsistency.

2. Scope of services

Greenfield Harvest Ltd may provide one or more of the following services, subject to availability, site conditions, seasonal factors, equipment availability, and any agreed scope of work:

  • Crop planning and field management
  • Soil testing and nutrient management
  • Sustainable arable farming support
  • Farm machinery coordination
  • Harvesting and post-harvest handling
  • Land and pasture maintenance
  • Agricultural consultancy for farm improvement

Any descriptions, estimates, timelines, or recommendations we provide are based on information available at the time and are not guarantees of yield, productivity, profitability, weather outcomes, soil response, disease control, or other agricultural results. Agricultural operations are inherently affected by weather, land conditions, pests, disease, market forces, regulatory requirements, and other factors outside our control.

We may subcontract or engage third parties to assist in delivering services, provided that we remain responsible for the performance of any agreed obligations unless otherwise stated in a written agreement.

3. User obligations and responsibilities

You agree to:

  • Provide accurate, complete, and up-to-date information necessary for us to perform the services;
  • Ensure that all land, fields, machinery, access routes, and premises are safe, lawful, and suitable for the services requested;
  • Obtain and maintain all necessary permissions, licenses, consents, notices, and access rights required for us to carry out the services;
  • Disclose any hazards, contamination, protected species, biosecurity concerns, livestock presence, underground services, drainage issues, or other site-specific risks;
  • Comply with all applicable laws, regulations, codes, and industry standards relating to your farm, land, crops, livestock, and agricultural activities;
  • Not interfere with, misuse, or damage our equipment, staff, contractors, vehicles, or materials;
  • Promptly review and notify us of any errors, concerns, or disputes regarding our services or invoices;
  • Ensure that any persons acting on your behalf are authorised to do so.

You are solely responsible for decisions you make based on our consultancy, recommendations, reports, or advice. Where our services involve soil testing, nutrient management, agronomy, or farming advice, you acknowledge that final implementation decisions remain with you and your appointed professionals.

4. Payment terms and conditions

Fees for services will be set out in our quotation, service agreement, proposal, or invoice, or otherwise confirmed in writing. Unless agreed otherwise in writing:

  • All fees are payable in pounds sterling (GBP);
  • Invoices are due within 14 days of the invoice date;
  • We may require a deposit or advance payment before commencing work;
  • We may charge for additional work, delays, waiting time, travel, site visits, equipment hire, materials, consumables, and third-party costs not included in the original scope;
  • Any taxes, levies, duties, or similar charges payable in connection with the services shall be paid by you, unless stated otherwise;
  • We may suspend services if payment is overdue.

If you fail to pay any amount due, we may charge interest on the overdue sum at the maximum rate permitted by applicable law, accruing daily from the due date until payment is made in full, together with reasonable costs of recovery.

We reserve the right to revise pricing for future services, provided that any agreed fixed-price work remains governed by the price stated in the applicable written agreement.

5. Cancellation and refund policy

Because agricultural services may involve scheduling machinery, labour, seasonal timing, and site-specific preparations, cancellation terms may vary by service and will be stated in the relevant quotation or service agreement. If no specific cancellation terms are agreed, the following shall apply:

  • You may cancel services by providing us with written notice;
  • If cancellation occurs after work has commenced, you must pay for all work performed, costs incurred, and any non-recoverable commitments made by us;
  • If cancellation is made at short notice and we are unable to reallocate staff, machinery, or materials, we may charge a reasonable cancellation fee;
  • Deposits are refundable only to the extent that they exceed our properly incurred costs and non-recoverable expenses.

Refunds, where applicable, will be processed within a reasonable period after the amount refundable has been determined. No refund is due for services already completed, advice already delivered, or work rendered unusable due to your instructions, failure to cooperate, inaccurate information, or site conditions beyond our control.

6. Liability limitations

Nothing in these Terms limits or excludes liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.

Subject to the foregoing, Greenfield Harvest Ltd shall not be liable for:

  • Loss of profit, loss of revenue, loss of anticipated savings, loss of business, or loss of goodwill;
  • Crop failure, yield loss, soil degradation, pest infestation, disease spread, weather-related damage, or market fluctuations;
  • Indirect, consequential, incidental, special, or exemplary damages;
  • Loss or damage arising from inaccurate or incomplete information provided by you;
  • Failure to achieve a particular agricultural outcome where this depends on factors outside our reasonable control;
  • Loss arising from your use of our recommendations or reports contrary to our instructions or without appropriate professional oversight.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services or these Terms shall be limited to the total fees paid or payable by you to Greenfield Harvest Ltd for the specific service giving rise to the claim.

You are responsible for maintaining appropriate insurance for your operations, land, crops, livestock, machinery, and business risks. We recommend that you obtain suitable insurance cover for agricultural activities and any third-party exposures.

7. Intellectual property rights

Unless otherwise agreed in writing, all intellectual property rights in our materials, reports, methodologies, templates, documents, calculations, designs, systems, know-how, and other deliverables created by or for Greenfield Harvest Ltd remain our property or the property of our licensors.

Upon full payment of all applicable fees, you are granted a non-exclusive, non-transferable licence to use the deliverables solely for your internal agricultural and operational purposes in connection with the relevant farm, land, or project. You must not copy, modify, publish, resell, distribute, or exploit our materials for third parties without our prior written consent.

You warrant that any materials, data, maps, images, records, or information you supply to us do not infringe the rights of any third party and that you have the right to provide them to us for use in performing the services.

8. Data protection and privacy

Greenfield Harvest Ltd will process personal data in accordance with applicable data protection laws and our privacy practices. We may collect, use, store, and disclose personal data necessary to:

  • Provide and manage our services;
  • Communicate with you and your authorised representatives;

  • Maintain business records and comply with legal obligations;
  • Improve our services and support operational efficiency.

We may share personal data with service providers, subcontractors, professional advisers, payment processors, IT providers, and regulatory or governmental authorities where necessary for the purposes described above or where required by law.

You are responsible for ensuring that any personal data you provide to us has been collected and disclosed lawfully and that you have any necessary notices, consents, or legal bases for such disclosure.

For privacy-related enquiries, please contact us using the details in Section 12.

9. Force majeure

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events or circumstances beyond our reasonable control, including but not limited to extreme weather, floods, drought, fire, storm, disease outbreaks, pest infestations, machinery breakdown, supply chain disruption, transport delays, labour shortages, power failure, acts of government, legal restrictions, civil unrest, war, or industrial action.

Where a force majeure event occurs, we may suspend performance, adjust timelines, or terminate affected services if performance becomes impracticable. We will use reasonable efforts to mitigate the effects of any such event and resume services as soon as reasonably practicable.

10. Changes to terms

Greenfield Harvest Ltd may update or amend these Terms from time to time. The revised Terms will apply from the date they are posted, issued, or otherwise communicated to you, unless a later effective date is stated.

Where changes materially affect an existing service arrangement, we will take reasonable steps to notify you. Your continued use of our services after the effective date of any changes constitutes acceptance of the updated Terms.

11. Applicable law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and interpreted in accordance with the laws of England and Wales.

Subject to any mandatory legal provisions, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, claim, or matter arising out of or in connection with these Terms or the services provided by Greenfield Harvest Ltd.
